IN ANY CASE, THE TOTAL CUMULATIVE LIABILITY OF WAVELYN FOR ANY AND ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU HAVE PAID TO WAVELYN FOR THE SERVICE DURING THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) USD $50. SINCE THE SERVICE IS CURRENTLY PROVIDED FREE OF CHARGE, THE FOREGOING LIMITATION MAY RESULT IN NO RECOVERABLE DAMAGES.
10. Indemnification
You agree to defend, indemnify, and hold Wavelyn, its directors, employees, partners, agents, and affiliates harmless from and against any and all claims, damages, obligations, losses, liabilities, costs, debts, and expenses (including but not limited to attorney's fees) resulting from or arising out of your use of or access to the Service, your violation of these Terms, or your violation of any rights of a third party.
11. Changes to These Terms
We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If material changes are made, we will try to provide at least 30 days' notice prior to the new terms taking effect by updating the "Last Updated" date on this page. It is your responsibility to review this page periodically for changes.
Your continued access to or use of the Service after the revised Terms become effective constitutes your acceptance of the revised Terms. If you do not agree to the updated Terms, you must stop using the Service.
A history of significant revisions will be noted below:

12. Dispute Resolution
Any dispute, controversy, or claim arising out of or relating to these Terms, the Service, or your use of the Service (a "Dispute") shall be resolved as follows:
- Informal resolution: Before initiating formal proceedings, you agree to first contact us at [email protected] with a written description of the Dispute and a proposed resolution. We will attempt to resolve the matter informally within 30 days.
- Arbitration: If the Dispute cannot be resolved informally, the Dispute shall be submitted to binding arbitration administered under the rules of the arbitration institution in the governing jurisdiction (see Section 13). The arbitration shall be conducted in the English language. Judgment on the arbitration award may be entered in any court having jurisdiction.
- Class action waiver: You and Wavelyn agree that each party may bring claims against the other only on an individual basis, and not as a plaintiff or class member in any purported class action, collective action, or representative proceeding.
- Injunctive relief: Nothing in this section shall prevent either party from seeking injunctive or other equitable relief in a court of competent jurisdiction for intellectual property infringement or other urgent matters.
13. Governing Law and Jurisdiction
These Terms and any dispute arising out of or relating to them shall be governed by and construed in accordance with the laws of the United States of America and, to the extent applicable, the laws of the State of Delaware, United States of America, without regard to its conflict of law provisions.
Subject to the dispute resolution provisions in Section 12, any legal action or proceeding arising out of or related to these Terms or the Service shall be brought exclusively in the state or federal courts located in Delaware, United States of America, and you hereby consent to the personal jurisdiction of such courts and waive any objection to venue or inconvenient forum.
If you are accessing the Service from outside the United States, you do so at your own initiative and are responsible for compliance with applicable local laws. Wavelyn makes no representation that the Service is appropriate or available in jurisdictions outside the United States.
14. Entire Agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and Wavelyn regarding your use of the Service and supersede and replace any prior agreements, understandings, or communications we might have had between us regarding the Service.
If any provision of these Terms is found by a court of competent jurisdiction to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
